Accepting this agreement
This agreement forms a legally binding contract between you and Covextra Ltd in relation to your use of our Services and websites. You accept the terms of this agreement on your own behalf and, where you use the Services for an organisation, on behalf of that organisation, and you confirm that you are authorised to do so.
Your obligations
You agree to use the Services only for the purposes stipulated in this agreement and in accordance with any applicable law, regulation or generally accepted practice in the relevant jurisdiction.
- You are responsible for the workloads you run, the requests you submit and the quotes you give through the Services.
- You agree to protect the privacy and legal rights of anyone whose data you process through the Services, and to give them adequate notice of that processing.
- The Services are intended for businesses and are not for use by anyone under the age of 18.
Services
Covextra will provide the Services you register for, subject to these terms.
Covextra may provide services and features labelled as alpha, beta, pilot, preview, early access or development (each a "Beta Service"). Covextra bears no liability or responsibility for any Beta Service. Support, service level agreements and warranties do not extend to Beta Services. Covextra Exchange is a Beta Service until we announce otherwise.
Access and accounts
To use Covextra Harness or Covextra Exchange, you sign in with Privasys ID. You agree to the following:
- You are solely responsible for your account, and for the security of the device you sign in with.
- All information you provide to us through your account is up to date, accurate and truthful, and you will update it if it changes.
We reserve the right to suspend or terminate your account if you use our Services illegally or in breach of these terms.
Covextra Harness
Covextra Harness lets you run AI agents whose agent, model and tools run in attested confidential computing environments. You agree to:
- Use it only for lawful purposes, and only with accounts and data you are entitled to use.
- Review the actions an agent proposes before you approve them, and take responsibility for the actions you approve.
- Not use it to build or run software that is harmful, deceptive or illegal.
Covextra Exchange
Covextra Exchange matches requests for AI compute from buyers with quotes from compute providers. If you take part:
- As a buyer, your requests must state your requirements accurately, and an order you accept commits you to pay for the capacity on the terms of the quote.
- As a compute provider, your capability declarations must be accurate, and a quote you give is binding for the period it states.
- Payment for an order may be held by Covextra and released against the attestation and metering evidence the order specifies.
- Participation may be subject to an exchange agreement and rules published to participants, which prevail over these terms where they differ.
- Covextra reserves the right to review, approve or remove any participant, request or quote at its discretion.
Restricted content and use
The following are strictly prohibited:
- Content that endangers children or exploits vulnerable individuals
- Workloads designed for illegal activities
- Deceptive or fraudulent services, requests or quotes
- Content that infringes intellectual property rights
- Malware, exploits, or tools designed for malicious behaviour
- Impersonation or false representation
Websites
- Visitor conduct: your use of any information or materials on our websites is entirely at your own risk. It is your responsibility to ensure that any services or information available through our websites meet your specific requirements.
- Third-party links: our websites may include links to other websites. These links are provided for your convenience. We have no responsibility for the content of linked websites.
- Intellectual property: our websites contain material which is owned by or licensed to us, including the design, layout, look, appearance and graphics. Reproduction is prohibited other than in accordance with the copyright notice.
Ownership
Covextra retains all rights, title and interest in and to all intellectual property and proprietary technology used to perform the Services. You keep all rights in your own data and workloads.
Confidentiality
Unless otherwise agreed, Covextra will treat any information gained during the supply of the Services as private and confidential. Likewise, you shall keep confidential any methodologies and technology used by Covextra that are not public, and the terms of any quote or order you see that are not your own.
Indemnification
You agree to defend, indemnify and hold harmless Covextra, its affiliates, and their respective directors, officers, employees and agents from and against any and all third-party claims, actions or proceedings, as well as any and all losses, liabilities, damages, costs and expenses, arising out of or accruing from your use of the Services, to the maximum extent permitted by law.
Term and termination
We may suspend or terminate your use of and access to the websites or Services at our sole discretion, for any reason, including a breach of these terms. Upon termination, you agree to immediately cease using the Services. Orders already accepted on Covextra Exchange are settled on their own terms.
Disclaimer of warranties
Neither we nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the information and materials found or offered on our websites for any particular purpose. You acknowledge that such information and materials may contain inaccuracies or errors, and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law.
Limitation of liability
To the fullest extent permitted by law, Covextra Ltd and our directors, officers, agents, employees, subsidiaries and affiliates will not be liable for any actions, claims, losses, damages, liabilities and expenses, including legal fees, arising from your use of the websites or Services. Nothing in these terms limits liability that cannot be limited by law.
Changes to this agreement
If any details of our agreement change, this page will be updated, and the changes posted will be effective immediately. We reserve the right to update or change our agreement at any time. You should check this page periodically.
Governing jurisdiction
This agreement shall be governed by and construed in accordance with English law. Any disputes arising in connection with this agreement are subject to the exclusive jurisdiction of the courts of England and Wales.
